Introduction

These Terms and Conditions govern your use of the FlowQuip website and the purchase of products from FlowQuip Limited ("FlowQuip", "we", "our", or "us").

By accessing our website, creating an account, requesting a quotation, placing an order, or purchasing products from us, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must not use our website or purchase products through it.

Website Use

You agree to:

Use the website only for lawful purposes.
Provide accurate and current information when creating accounts or placing orders.
Maintain the confidentiality of account login details.
Not interfere with the operation, security, or functionality of the website.
Not upload viruses, malicious code, or harmful content.

FlowQuip reserves the right to suspend or terminate access to the website where these Terms have been breached.

Product Information

FlowQuip makes reasonable efforts to ensure product descriptions, specifications, pricing, and availability are accurate.

However:

Product specifications may change without notice.
Product images are for illustrative purposes only.
Availability is subject to stock levels.
Errors and omissions may occasionally occur.

FlowQuip reserves the right to correct errors and cancel or amend orders affected by obvious pricing or description inaccuracies.

Quotations

Unless otherwise stated in writing:

Quotations are valid for thirty (30) days from the date issued.
Quotations are subject to stock availability.
Quotations may be withdrawn or amended prior to acceptance.

Orders

An order submitted through our website, email, telephone, or otherwise constitutes an offer to purchase.

No order is deemed accepted until:

FlowQuip confirms acceptance; or
Goods are dispatched.

FlowQuip reserves the right to decline any order at its discretion.

Pricing and Payment

All prices are displayed in New Zealand Dollars (NZD).

Unless expressly stated otherwise:

Prices exclude GST.
Freight and delivery charges may apply.
Payment is required before dispatch unless an approved credit account is in place.

FlowQuip reserves the right to amend pricing at any time before order acceptance.

Delivery

Delivery dates are estimates only and are not guaranteed.

To the maximum extent permitted by law:

FlowQuip is not liable for delays caused by freight providers, suppliers, customs, weather events, labour shortages, or circumstances beyond its reasonable control.
Risk in the goods passes to the customer upon delivery to the nominated delivery address or collection point.

Customers must inspect goods immediately upon receipt.

Any shortages, damages, or incorrect deliveries must be reported within seven (7) days of delivery.

Returns and Credits

Trade Account Customers

All returns are subject to the prior written approval of FlowQuip and are at the sole discretion of FlowQuip.

No goods may be returned without first obtaining a Return Authority (RA) from FlowQuip.

Before goods are returned, the customer must provide:

The original invoice number and/or packing slip reference;
A list of products and quantities being returned; and
Any information reasonably requested by FlowQuip.

Unless otherwise agreed in writing, all freight and associated costs relating to returned goods are the responsibility of the customer.

To qualify for a full credit, goods must:

Be approved for return by FlowQuip.
Be returned within seven (7) days of the original dispatch date;
Be unused and in saleable condition; and
Be returned in their original packaging.

The following return charges apply to approved returns:

Return Period	Credit Available
Within 7 days of dispatch	100% credit
Between 8 and 28 days of dispatch	Credit less 20% handling fee
Between 29 and 60 days of dispatch	Credit less 50% handling fee
More than 60 days after dispatch	No credit available

Certain non-core range products, special-order items, or specifically procured goods may not be eligible for return. Where applicable, this will be advised at the time of quotation, ordering, or supply.

The following goods are non-returnable and non-refundable unless required by law:

Specially procured goods;
Custom-manufactured goods;
Cut-to-length products;
Fabricated goods;
Goods altered to customer specifications;
Goods returned without original packaging;
Goods that are damaged, used, or not in a resalable condition.

Non-Trade Account Customers

For customers purchasing outside an approved trade account, any request to return goods for credit or refund must be approved in writing by FlowQuip before the goods are returned.

Approved returns must:

Be returned within seven (7) days of purchase;
Be in as-new condition;
Be accompanied by proof of purchase; and
Be returned in original packaging where applicable.

Where a return is approved, the refund or credit will be calculated based on the original sale price, less a 25% restocking fee.

Nothing in this clause limits or excludes any rights a consumer may have under the Consumer Guarantees Act 1993 or any other legislation that cannot lawfully be excluded.

Faulty or Incorrect Goods

Nothing in this Returns Policy limits any rights available to customers under applicable New Zealand law.

Where goods are supplied incorrectly by FlowQuip, or where goods are faulty, and a remedy is required by law, FlowQuip will determine the appropriate remedy, which may include repair, replacement, refund, or credit in accordance with its legal obligations.

Consumer Guarantees Act

If you are acquiring goods or services for personal, domestic, or household use, your rights under the Consumer Guarantees Act 1993 cannot be excluded.

Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993, Fair Trading Act 1986, or any other legislation that cannot lawfully be excluded.

Business Customers

Where goods or services are acquired for business purposes:

The customer acknowledges that the goods and services are being acquired for business purposes.
The parties agree to contract out of the Consumer Guarantees Act 1993 pursuant to section 43 of that Act to the fullest extent permitted by law.
The parties agree that sections 9, 12A, and 13 of the Fair Trading Act 1986 are contracted out of pursuant to section 5D of that Act where legally permitted.

Warranties

Manufacturer warranties may apply to specific products.

Except as expressly stated or required by law:

No additional warranties are provided.
All implied warranties, guarantees, and conditions are excluded to the fullest extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, FlowQuip's total liability arising from any claim relating to goods, services, or website use shall not exceed the amount paid by the customer for the affected goods or services.

FlowQuip shall not be liable for:

Indirect loss;
Consequential loss;
Loss of profits;
Loss of production;
Loss of revenue;
Loss of business opportunity;
Loss of goodwill; or
Loss of data.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

Force Majeure

FlowQuip is not liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including:

Natural disasters;
Flood;
Fire;
Pandemic;
Industrial action;
Transport disruption;
Government restrictions;
Utility failures; or
Supplier delays.

Intellectual Property

All content on this website, including text, graphics, logos, product information, catalogues, images, and software, remains the property of FlowQuip or its licensors.

No content may be copied, reproduced, distributed, modified, or used without prior written consent.

Privacy

FlowQuip collects, uses, stores, and discloses personal information in accordance with its Privacy Policy and the Privacy Act 2020.
